Lining Pro LLC operates LiningPro. These Full Contractor Terms are governed by Florida law.
These Full Contractor Terms apply to contractors, advertisers, service providers, business owners, account users, employees, agents, representatives, and any person or entity that creates, manages, pays for, accesses, or benefits from a contractor account, advertiser account, public profile, listing, lead-routing access, dashboard, classifieds access, Contractor Talk access, messaging access, analytics access, or paid membership on LiningPro.
By creating, accessing, paying for, maintaining, or using a contractor account, you agree to these Full Contractor Terms.
Contractors are independent businesses. Participation on LiningPro does not create an employment relationship, agency relationship, partnership, franchise relationship, joint venture, brokerage relationship, representative relationship, or legal affiliation between the contractor and LiningPro.
LiningPro is a directory, advertising, lead-routing, contractor discovery, contractor resource, classifieds-style, and industry participation platform. LiningPro is not a contractor, plumbing company, sewer repair company, pipe lining company, trenchless installation company, engineering firm, inspection company, broker, agent, employer, joint venturer, partner, insurer, guarantor, or representative of any contractor.
No contractor, advertiser, account holder, employee, subcontractor, agent, or representative has authority to bind LiningPro, make promises on behalf of LiningPro, represent themselves as LiningPro staff, or imply that LiningPro guarantees, endorses, supervises, certifies, insures, warrants, controls, approves, or is responsible for their work.
Contractors are solely responsible for their own business operations, licensing, insurance, bonding, permitting, taxes, employees, subcontractors, vehicles, equipment, tools, safety practices, estimates, contracts, warranties, workmanship, pricing, claims, representations, customer communications, jobsite conduct, and compliance with all applicable federal, state, county, municipal, utility, industry, environmental, safety, consumer protection, privacy, advertising, and property-specific requirements.
Contractors are solely responsible for confirming that they are legally authorized, properly licensed, adequately insured, properly bonded where required, and qualified to perform the services they advertise or provide in each service area where they operate.
LiningPro does not verify every contractor claim, license, insurance policy, certification, permit, safety practice, service area, jobsite procedure, estimate, warranty, repair method, or customer communication. Contractors remain fully responsible for their own business and field work.
Membership tiers, invoicing cadence, billing terms, plan benefits, and feature availability may be communicated at signup, checkout, renewal, inside dashboards, or through other platform notices. Charges may be handled through Stripe or another payment processor used by LiningPro.
By creating or maintaining a paid contractor membership, you authorize recurring charges according to the selected plan, billing cadence, taxes, add-ons, upgrades, usage-based charges, promotional terms, introductory terms, renewal terms, or other purchase terms shown at signup, checkout, renewal, or inside the billing dashboard.
You authorize LiningPro and its payment processors to store payment methods, customer records, subscription data, billing identifiers, transaction records, and related payment information as needed to operate accounts, subscriptions, invoices, billing controls, renewals, cancellations, payment retries, tax calculations, receipts, and fraud prevention.
You are responsible for keeping payment methods, billing contacts, account ownership information, email addresses, business information, dashboard users, and account access current and accurate. Failure to maintain valid billing information may result in failed payments, account restriction, suspension, loss of paid features, removal from lead distribution, profile limitation, or termination.
Deleting, editing, hiding, or changing a public profile does not cancel a paid subscription. Canceling payment through a bank, card issuer, or payment processor does not automatically terminate all platform obligations, outstanding balances, account responsibilities, or legal obligations.
Contractor understands and agrees that LiningPro is a new, developing, and actively evolving contractor platform. The platform is presently in a building, testing, improvement, and market-development phase. LiningPro is working to grow contractor participation, homeowner awareness, search visibility, directory usefulness, contractor tools, lead-routing systems, classifieds-style features, Contractor Talk features, public profiles, dashboard tools, messaging tools, analytics, notifications, and other platform functions over time.
Contractor acknowledges that the platform may not yet have broad consumer adoption, contractor participation, lead volume, marketplace activity, classifieds activity, discussion activity, search demand, geographic coverage, public awareness, customer usage, or contractor engagement in every area.
Contractor further acknowledges that participation during this stage involves uncertainty and patience. No contractor should join with the expectation of immediate leads, immediate customer activity, immediate return on investment, guaranteed directory traffic, guaranteed visibility, guaranteed contact volume, guaranteed profile engagement, guaranteed classifieds activity, guaranteed discussion activity, guaranteed contractor participation, or guaranteed business results.
LiningPro may invite contractors to participate early so the platform can grow into a more useful industry resource. Early participation may provide access to introductory pricing, founder-style pricing, early contractor profiles, directory presence, contractor tools, listing tools, profile visibility opportunities, lead-routing eligibility, and platform access as available from time to time. However, early participation does not guarantee that the platform will reach any specific level of traffic, customer use, contractor adoption, lead volume, search placement, market share, revenue impact, or commercial success.
Contractor understands that LiningPro is being improved continuously and that changes may be made frequently, including weekly or ongoing updates. Features, dashboards, contractor profiles, lead-routing tools, classifieds, Contractor Talk, messaging, analytics, notifications, account tools, billing flows, search pages, service categories, city pages, state pages, directory layouts, and other platform functions may be added, changed, delayed, limited, interrupted, removed, renamed, replaced, tested, or unavailable from time to time.
Contractor understands that some features may be experimental, beta, partially built, unavailable in certain markets, unavailable to certain membership levels, temporarily disabled, delayed, or subject to change without prior notice. LiningPro does not guarantee that any current, planned, described, advertised, previewed, or requested feature will remain available, operate without interruption, produce results, or be released on any particular timeline.
Contractor agrees that membership fees are paid for access to the LiningPro platform as it exists and evolves, not for guaranteed leads, guaranteed platform adoption, guaranteed customer use, guaranteed contractor participation, guaranteed classifieds activity, guaranteed Contractor Talk activity, guaranteed revenue, guaranteed search ranking, guaranteed profile traffic, guaranteed closed jobs, guaranteed customer inquiries, guaranteed phone calls, guaranteed website visits, or guaranteed availability of any specific feature.
Contractor acknowledges that introductory, promotional, founder, early-access, trial, discounted, or initial membership pricing may be offered while the platform is being established. Contractor understands and agrees that pricing may increase in the future as the platform grows, improves, adds features, increases traffic, expands contractor tools, develops additional marketplace activity, changes its cost structure, or changes its membership structure.
LiningPro may change pricing, plan names, plan features, membership tiers, billing terms, promotional offers, free access periods, discounted plans, and available packages at its discretion, subject to applicable billing disclosures and cancellation rights.
Contractor accepts that early participation is voluntary and involves business risk. Contractor is responsible for deciding whether the platform is appropriate for its business, budget, marketing strategy, service area, and expectations. Lack of leads, limited customer activity, limited contractor participation, low marketplace usage, unavailable features, platform bugs, delayed features, changing tools, pricing changes, or dissatisfaction with early-stage platform adoption do not automatically entitle Contractor to a refund, credit, chargeback, damages, cancellation outside the stated cancellation process, or any other remedy unless expressly required by law or stated in writing by LiningPro.
LiningPro does not guarantee lead volume, lead quality, exclusive territory, exclusive category, exclusive city, exclusive ZIP code, customer response, appointment booking, closed jobs, revenue, profit, return on investment, search ranking, directory position, profile traffic, phone calls, website visits, quote requests, impressions, clicks, sales, reviews, customer trust, market share, brand recognition, or any specific business outcome.
Membership fees are paid for access to platform features, directory visibility, account tools, profile functionality, participation tools, and eligibility for applicable lead-routing features. Fees are not contingent on receiving a minimum number of leads, customers, jobs, clicks, calls, impressions, messages, views, inquiries, revenue, or sales.
Contractors understand that lead activity, profile activity, visibility, traffic, search exposure, customer response, and platform usefulness may vary based on geography, seasonality, site traffic, competition, consumer demand, profile completeness, service category, search behavior, advertising activity, technical issues, fraud filtering, membership tier, account status, pricing tier, service area coverage, market conditions, platform maturity, customer adoption, contractor adoption, and other factors outside LiningPro’s control.
Contractor may not claim that lack of leads, lack of revenue, lack of customer response, lack of profile traffic, lack of contractor participation, lack of classifieds activity, lack of Contractor Talk activity, or lack of marketplace adoption is a breach by LiningPro where LiningPro has provided access to the platform as available under the selected plan.
Lead routing may consider membership tier, service area, service category, account standing, profile status, billing status, user request details, geography, platform rules, fraud controls, technical limitations, availability of eligible contractors, customer preferences, operational criteria, and other factors determined by LiningPro.
LiningPro may update, test, modify, limit, pause, replace, reorder, suppress, adjust, or discontinue lead-routing logic at any time. LiningPro does not guarantee that any lead will be routed to any specific contractor.
LiningPro may reject, filter, delay, reroute, suppress, or withhold leads that appear incomplete, fraudulent, duplicative, abusive, outside a service area, unsafe, commercially unreasonable, technically invalid, spam-related, low quality, legally sensitive, outside platform scope, or otherwise unsuitable.
Contractors may not manipulate, spoof, bypass, exploit, reverse engineer, or interfere with lead-routing rules, membership eligibility, billing-owned fields, dashboard permissions, profile status, subscription status, service areas, category eligibility, platform scoring, account logic, or platform operation.
Leads, customer information, phone numbers, email addresses, addresses, property details, project descriptions, uploaded files, photos, videos, inspection notes, and other submitted information may be used only to respond to the specific customer inquiry received through LiningPro.
Contractors may not sell, resell, broker, transfer, publish, share, scrape, store for unrelated marketing, upload into unrelated advertising databases, use for spam, use for robocalls, use for unrelated campaigns, use for unrelated SMS outreach, use for unrelated email marketing, or otherwise misuse customer information obtained through LiningPro.
Contractors are responsible for complying with all applicable privacy, communications, advertising, telemarketing, text messaging, email, consumer protection, data security, and recordkeeping laws when contacting leads or using customer information.
Contractors are responsible for obtaining any required customer permissions, consent, opt-ins, call recording disclosures, text messaging consent, marketing consent, or other legal approvals required for their communications.
Cancellations must be completed through the applicable in-product billing controls, billing portal, account controls, or written process made available by LiningPro. Billing-owned profile fields, subscription status fields, dashboard status fields, or lead eligibility fields cannot be spoofed, bypassed, or modified through profile editors.
Unless otherwise stated in writing, cancellation stops future renewal charges but does not automatically create a refund for amounts already charged. Access to paid features, enhanced visibility, dashboard tools, profile benefits, and lead distribution may continue through the then-current paid period or may be adjusted according to applicable billing and product rules.
Deleting, editing, hiding, or changing a public profile does not cancel a subscription. Canceling payment through a bank, card issuer, or payment processor does not automatically terminate all platform obligations, outstanding balances, account responsibilities, data-use restrictions, or legal obligations.
All fees are non-refundable unless LiningPro expressly states otherwise in writing or applicable law requires otherwise. LiningPro may deny refunds for unused time, lack of leads, lack of closed jobs, dissatisfaction with lead volume, dissatisfaction with lead quality, dissatisfaction with profile traffic, dissatisfaction with platform adoption, dissatisfaction with feature availability, failure to use the dashboard, forgotten cancellations, profile inactivity, account misuse, business performance expectations, or early-stage platform expectations.
Temporary bugs, maintenance, feature changes, platform changes, unavailable features, reduced feature functionality, limited customer activity, low contractor participation, limited traffic, dashboard issues, analytics inconsistencies, or dissatisfaction with marketplace adoption do not automatically create a right to refund unless a refund is expressly required by law or stated in writing by LiningPro.
Contractors agree to contact LiningPro before initiating a chargeback or payment dispute. Improper chargebacks, payment reversals, failed payments, suspected payment abuse, billing fraud, or repeated payment disputes may result in suspension, termination, collection efforts, loss of paid features, removal from lead distribution, recovery of fees, recovery of chargeback costs, and refusal of future service.
Contractors remain solely responsible for any claims in their logos, copy, uploads, bids, proposals, guarantees, certifications, permits, testimonials, reviews, outbound SMS messages, phone calls, emails, imagery, warranties, indemnities, pricing, financing offers, and customer communications.
Contractors may not submit or display false, misleading, deceptive, unlawful, exaggerated, unverifiable, unsupported, or outdated claims, including claims about licensing, insurance, bonding, certifications, years in business, service areas, pricing, warranties, reviews, affiliations, emergency availability, response times, project outcomes, financing, permits, guarantees, special approvals, manufacturer relationships, or legal compliance.
Contractors are solely responsible for ensuring that all advertising, profile content, customer communications, outbound marketing, testimonials, reviews, images, logos, offers, coupons, claims, and service descriptions comply with applicable advertising, consumer protection, privacy, intellectual property, communications, contractor licensing, and industry-specific laws.
LiningPro may remove, edit, reject, suppress, limit, or decline contractor content that appears inaccurate, unsupported, misleading, unlawful, low-quality, spammy, abusive, or inconsistent with platform standards.
Contractors may reference NASSCO, PACP™, LACP™, MACP™, ITCP™, or BSDI™ only to accurately describe current training or certification held by their personnel. Contractors may not upload, display, or use NASSCO logos, badges, seals, certification marks, or branded graphics unless they have written authorization from NASSCO and provide that authorization upon request. References to NASSCO do not imply sponsorship, approval, endorsement, affiliation, or verification by LiningPro or NASSCO.
Contractors grant LiningPro a non-exclusive, worldwide, royalty-free license to host, display, reproduce, modify, format, distribute, promote, index, analyze, excerpt, republish, and use submitted profile content, logos, images, business descriptions, service areas, links, reviews, project descriptions, public claims, and related materials for platform operations, directory display, SEO, marketing, advertising, analytics, quality control, moderation, security, fraud prevention, and service improvement.
LiningPro may edit, reject, remove, format, limit, suspend, hide, decline to publish, reorganize, or modify any profile content, listing, image, logo, review, link, service area, claim, category, or submitted material at its discretion, including where content appears inaccurate, misleading, unlawful, spammy, low-quality, duplicative, abusive, outdated, unverifiable, or inconsistent with platform standards.
LiningPro does not guarantee that any public listing, profile, category, service area, image, content field, directory page, or SEO page will appear in a specific format, position, layout, order, or search result.
Contractor profiles may contain information submitted by contractors, generated from contractor-provided materials, imported from public sources, or edited by LiningPro for formatting, clarity, search visibility, and user experience. Contractors are solely responsible for the truth, accuracy, legality, authorization, ownership, and current status of all information, claims, images, logos, badges, credentials, certifications, licenses, affiliations, service descriptions, service areas, reviews, and other content associated with their profiles.
LiningPro does not independently inspect, audit, certify, license, endorse, approve, guarantee, warrant, or verify any contractor, contractor service, contractor claim, credential, certification, license, insurance status, logo, badge, review, affiliation, or profile content. Display of a contractor profile, premium placement, featured status, reviews, badges, credentials, service categories, images, or quote-routing tools does not constitute an endorsement, recommendation, warranty, verification, or guarantee by LiningPro.
Contractors may reference third-party organizations, manufacturers, training programs, credentials, certifications, trademarks, trade names, badges, or logos only when they have the legal right and authorization to do so. Contractors may not upload or display third-party marks, logos, certification badges, seals, or branded graphics unless they are authorized to use them. LiningPro may remove, modify, hide, or disable any content that appears inaccurate, misleading, unauthorized, infringing, outdated, or likely to imply an endorsement, affiliation, approval, or verification that does not exist.
References to NASSCO, PACP™, LACP™, MACP™, ITCP™, BSDI™, or related programs, standards, training, inspection, assessment, or certification terminology are for identification and informational purposes only. NASSCO and its respective programs, marks, manuals, logos, training materials, and intellectual property belong to NASSCO. No LiningPro profile is reviewed, sponsored, approved, endorsed, certified, affiliated with, or verified by NASSCO unless expressly stated by NASSCO in writing. Users should verify any claimed NASSCO-related certification, credential, or training status directly through NASSCO’s official resources.
Users are solely responsible for conducting their own due diligence before contacting, hiring, paying, or entering into any agreement with a contractor. This includes verifying licensing, insurance, bonding, certifications, permits, legal authority to perform work, references, pricing, scope, warranties, safety requirements, and compliance with applicable laws, codes, and project requirements. LiningPro is not responsible for contractor conduct, workmanship, representations, omissions, pricing, project performance, damages, delays, defects, injuries, losses, disputes, or any decision made based on profile content or communications initiated through the platform.
LiningPro may allow customers, users, or third parties to submit reviews, ratings, feedback, complaints, corrections, questions, reports, or other information regarding contractors. LiningPro does not guarantee that all reviews, reports, or feedback are accurate, complete, fair, current, verified, or representative.
Contractors may not submit fake reviews, manipulate reviews, retaliate against customers, threaten customers, suppress lawful feedback, post competitor attacks, buy undisclosed reviews, exchange reviews improperly, or use LiningPro for reputation abuse.
Customer disputes, workmanship complaints, warranty claims, pricing disputes, damage claims, payment disputes, injury claims, missed appointments, failed repairs, property damage, insurance issues, permitting issues, or other disagreements between a contractor and a customer are solely between the contractor and the customer.
LiningPro has no obligation to investigate, mediate, pay, reimburse, repair, correct, manage, supervise, or resolve contractor-customer disputes.
Unless expressly stated in a separate written agreement signed by LiningPro, contractor memberships do not include exclusive territories, exclusive categories, exclusive cities, exclusive counties, exclusive ZIP codes, exclusive leads, exclusive listings, exclusive rankings, exclusive placement, or protection from competing contractors.
LiningPro may add, remove, display, suppress, adjust, combine, split, rename, reorganize, or modify service areas, categories, city pages, state pages, directory pages, search pages, lead-routing zones, and platform geography at its discretion.
Contractor is responsible for keeping service areas accurate and for ensuring that it is legally authorized, licensed, insured, and able to perform advertised services in each listed area.
Contractors are responsible for all activity under their accounts, including activity by owners, employees, subcontractors, marketing vendors, agencies, assistants, administrators, and anyone else with access to account credentials or dashboards.
Contractors must protect login credentials, use accurate account information, avoid unsafe credential sharing, promptly revoke access for unauthorized users, and notify LiningPro if account access, billing access, customer information, or lead data may have been compromised.
LiningPro may suspend, restrict, reset, or terminate account access where it suspects unauthorized access, credential compromise, fraudulent activity, security risk, ownership dispute, billing abuse, account misuse, or violation of these Terms.
LiningPro may offer Contractor Talk, classifieds-style listings, discussion tools, equipment listings, wanted listings, opportunity listings, project discussions, contractor resources, or other participation features. These features may be new, experimental, moderated, limited, unavailable, changed, removed, or expanded over time.
LiningPro does not guarantee the accuracy, quality, legality, availability, safety, value, or reliability of user-submitted classifieds, discussions, equipment listings, contractor posts, opportunity listings, comments, messages, or related content.
Contractors are solely responsible for their own posts, listings, offers, claims, communications, transactions, equipment descriptions, pricing, payment arrangements, shipping arrangements, title, ownership, safety, condition, warranties, inspections, and disputes arising from classifieds or community activity.
LiningPro is not responsible for transactions, disputes, losses, fraud, misrepresentations, payment issues, equipment condition, shipping issues, or business dealings between contractors or users.
Contractors may not scrape the Site, harvest data, submit fake leads, test lead routing through false submissions, interfere with billing, bypass subscription controls, impersonate users, attack competitors, misuse customer information, upload malware, manipulate reviews, reverse engineer platform logic, abuse Contractor Talk, misuse classifieds, harass users, violate privacy rights, spam customers, evade bans, submit fraudulent listings, make false claims, interfere with security, overload platform systems, or use LiningPro for unlawful, deceptive, abusive, or fraudulent purposes.
LiningPro may enforce its Acceptable Use Policy against contractors, advertisers, account users, vendors, and any related party who misuses the platform.
LiningPro may modify, suspend, discontinue, replace, limit, test, remove, add, or update any feature, membership tier, dashboard tool, profile option, lead-routing rule, directory layout, ranking signal, public page, service category, billing flow, analytics tool, notification system, messaging function, Contractor Talk feature, classifieds function, or platform function at any time.
LiningPro does not guarantee uninterrupted access, error-free operation, specific uptime, permanent availability of any feature, continued support for any integration, continued availability of any dashboard tool, continued lead-routing eligibility, or continued compatibility with any contractor’s business systems, devices, browsers, software, workflows, CRMs, analytics tools, call tracking systems, or marketing systems.
Platform access may be affected by maintenance, updates, bugs, code changes, database changes, hosting outages, payment processor issues, authentication issues, third-party vendor outages, spam filtering, abuse controls, fraud controls, security changes, email delivery issues, browser differences, device differences, user error, or other technical and operational factors.
Dashboard metrics, lead counts, traffic statistics, profile views, call clicks, website clicks, message counts, form submissions, conversion data, analytics, reports, rankings, impression estimates, engagement data, search visibility data, city page activity, directory activity, lead status, notification records, and reporting tools are provided for convenience and internal visibility only.
Such data may be incomplete, delayed, estimated, filtered, duplicated, rounded, sampled, suppressed, misattributed, affected by bots, affected by spam filtering, affected by fraud controls, affected by caching, affected by browser privacy settings, affected by cookie choices, affected by ad blockers, affected by script blockers, affected by third-party outages, affected by email delivery issues, affected by phone carrier issues, affected by tracking limitations, affected by database delays, affected by technical limitations, or different from third-party analytics platforms.
Contractor understands that LiningPro analytics may not match Google Analytics, Google Search Console, Google Ads, call tracking systems, CRMs, payment records, server logs, browser data, advertising platforms, phone records, email inboxes, SMS platforms, or other internal or third-party systems.
Contractor further understands that reports may contain discrepancies, inconsistencies, missing events, duplicate events, delayed records, filtered records, incomplete attribution, incorrect source labeling, inaccurate timestamps, or differences between dashboard summaries and underlying data.
LiningPro does not guarantee the accuracy, completeness, timeliness, availability, attribution, consistency, or business usefulness of any analytics, dashboard metric, report, notification, status label, lead count, profile view count, conversion metric, click metric, call metric, or performance measurement.
Contractors should not rely solely on LiningPro analytics or dashboard data for financial, advertising, staffing, legal, tax, operational, hiring, investment, refund, billing, or business decisions. Contractors are responsible for validating performance information against their own systems, call logs, CRM, payment records, advertising accounts, analytics tools, email records, SMS records, customer records, and internal reporting.
Analytics errors, reporting discrepancies, missing data, duplicate data, delayed metrics, inaccurate attribution, or differences between LiningPro reporting and third-party reporting do not automatically entitle Contractor to a refund, credit, damages, chargeback, billing adjustment, or other remedy.
LiningPro may provide notices, lead alerts, dashboard messages, emails, SMS messages, billing notices, account alerts, and other communications. LiningPro does not guarantee that any message, alert, notification, email, SMS, lead notice, or dashboard notification will be delivered, received, opened, read, clicked, or acted upon.
Notification delivery may be affected by spam filters, email server rules, carrier filtering, incorrect contact information, user settings, third-party provider issues, internet issues, device settings, unsubscribes, suppression lists, account status, payment status, abuse prevention, or technical delays.
Contractors are responsible for monitoring their dashboards, account emails, billing notices, customer communications, spam folders, phone systems, and internal workflows.
Contractors are solely responsible for all taxes, licenses, permits, payroll obligations, insurance obligations, employee obligations, subcontractor obligations, reporting obligations, and business compliance requirements arising from their operations, advertising, customer relationships, and services.
LiningPro is not responsible for withholding, collecting, reporting, or paying any contractor’s income taxes, payroll taxes, sales taxes, use taxes, employment taxes, business taxes, licensing fees, permit fees, insurance premiums, or similar obligations unless expressly required by law.
LiningPro may rely on third-party services such as Stripe, Supabase, Resend, hosting providers, analytics providers, spam-prevention tools, authentication systems, payment processors, cloud platforms, email providers, SMS providers, mapping tools, search tools, storage providers, and other vendors.
LiningPro is not responsible for third-party outages, errors, data loss, security incidents, processing delays, payment issues, email delivery issues, SMS delivery issues, vendor policy changes, analytics discrepancies, integration failures, rate limits, degraded performance, or service interruptions outside LiningPro’s reasonable control.
Use of third-party services may also be subject to the terms, privacy policies, and operational rules of those third parties.
To the maximum extent permitted by law, contractors agree to defend, indemnify, and hold harmless LiningPro, its owners, members, officers, employees, contractors, vendors, affiliates, agents, and representatives from and against any claims, damages, liabilities, losses, costs, expenses, demands, actions, investigations, penalties, fines, judgments, settlements, or fees, including reasonable attorneys’ fees, arising out of or related to the contractor’s business, services, advertising, profile content, customer communications, lead use, misuse of customer information, licensing, insurance, permits, taxes, employees, subcontractors, jobsite conduct, workmanship, warranties, pricing, billing disputes, legal violations, privacy violations, intellectual property violations, platform misuse, classifieds activity, Contractor Talk activity, false claims, customer disputes, or breach of these Terms.
To the maximum extent permitted by law, LiningPro is not liable for lost profits, lost revenue, lost leads, lost business opportunities, lost customers, reputational harm, customer disputes, chargebacks, subscription dissatisfaction, data loss, dashboard downtime, ranking changes, directory changes, lead-routing changes, feature changes, unavailable features, inaccurate analytics, reporting inconsistencies, notification failures, third-party service failures, payment processor issues, customer conduct, contractor conduct, platform adoption levels, marketplace activity levels, or any indirect, incidental, consequential, special, exemplary, punitive, or economic damages.
To the maximum extent permitted by law, LiningPro’s aggregate liability for all claims relating to contractor membership, advertising, listings, subscriptions, dashboards, lead routing, classifieds, Contractor Talk, analytics, reporting, platform access, or these Terms is limited to the amount paid by the contractor to LiningPro during the three (3) months before the event giving rise to the claim, or USD $100, whichever is greater.
LiningPro may suspend, restrict, downgrade, remove, hide, limit, or terminate a contractor account, profile, membership, advertising access, dashboard access, lead-routing access, classifieds access, Contractor Talk access, analytics access, or platform access at any time if LiningPro believes the contractor has violated these Terms, failed to pay, submitted misleading information, misused leads, created legal risk, harmed users, harmed platform integrity, abused staff, violated law, triggered security concerns, created reputational risk, created operational risk, created business risk, or created safety risk.
Termination or suspension does not waive amounts owed, legal rights, indemnity obligations, payment obligations, confidentiality obligations, data-use restrictions, no-circumvention obligations, limitation of liability, dispute terms, or any provisions that by their nature should survive termination.
Contractors may not use LiningPro to identify customers, contractors, advertisers, leads, platform logic, pricing, features, referral sources, business opportunities, marketplace participants, or account relationships and then circumvent the platform in a way that violates these Terms, misuses data, avoids payment, abuses lead routing, interferes with LiningPro’s business relationships, or harms platform operations.
Contractors may receive access to non-public platform information, dashboard data, lead-routing behavior, business rules, pricing, account tools, performance reports, internal communications, administrative communications, product previews, early-stage feature details, or other proprietary information.
Contractors may not disclose, copy, publish, reverse engineer, resell, scrape, exploit, or misuse non-public LiningPro information without written permission.
LiningPro may provide notices by email, dashboard message, billing portal, site notice, account alert, checkout disclosure, legal page update, or other reasonable method. Contractors are responsible for monitoring account emails, billing notices, dashboard messages, platform updates, and legal notices.
Failure to read a notice does not automatically excuse contractor obligations where LiningPro made the notice reasonably available.
Contractors may not assign, transfer, resell, sublicense, or delegate their membership, account, profile, lead access, dashboard access, billing relationship, or obligations without LiningPro’s written permission.
LiningPro may assign or transfer these Terms in connection with a merger, acquisition, reorganization, sale of assets, financing, change of control, or business transfer.
To the maximum extent permitted by law, contractors agree that any dispute with LiningPro must be brought only in an individual capacity and not as a plaintiff, claimant, or class member in any proposed class, collective, consolidated, private attorney general, or representative action.
These Full Contractor Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules.
Contractors agree to the exclusive jurisdiction and venue of the state and federal courts located in Florida for disputes arising out of or relating to contractor membership, listings, billing, subscriptions, dashboards, lead routing, advertising, classifieds, Contractor Talk, analytics, reporting, platform access, or these Terms.
These Full Contractor Terms supplement LiningPro’s Terms of Service, Privacy Policy, Cookie & Storage Policy, Acceptable Use Policy, Disclaimer, dashboard notices, checkout notices, and other legal notices.
If these Full Contractor Terms conflict with a separately signed written agreement between LiningPro and a contractor, the signed written agreement will control for that specific conflict. Otherwise, these Full Contractor Terms control contractor membership issues to the maximum extent permitted by law.
LiningPro may update these Full Contractor Terms at any time to reflect changes in membership plans, billing practices, lead-routing rules, legal obligations, platform features, abuse patterns, business operations, early-stage platform development, pricing, analytics, reporting, or enforcement needs.
Continued use of LiningPro after updated terms are posted, linked, displayed, or otherwise made available means the contractor accepts the updated terms.
Any provisions that by their nature should survive termination will survive, including payment obligations, refunds and chargeback provisions, indemnification, limitation of liability, lead-use restrictions, intellectual property rights, confidentiality obligations, dispute provisions, Florida law and venue, no-circumvention obligations, analytics and reporting disclaimers, platform availability disclaimers, and enforcement rights.
By creating, accessing, paying for, maintaining, or using a contractor account, Contractor acknowledges and agrees that:
